1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Wello website, mobile apps, and related services (the "Service").

The Service is operated by Wello Partners LLC ("Wello," "we," "our," "us"). By using the Service, you agree to these Terms.

2. Required Clause Summary

These Terms include core commercial and legal clauses, including:

• Eligibility and account responsibilities.
• Acceptable use and prohibited conduct.
• Offer, cashback, and redemption conditions.
• Payout-provider and third-party service terms.
• Intellectual property rights.

3. Eligibility and Accounts

• You must be legally able to enter into a binding agreement.
• You must provide accurate and current information.
• You are responsible for account credentials and account activity.
• You must promptly notify us of unauthorized use or security concerns.

4. Acceptable Use

You agree not to:

• Use false identities or submit fraudulent transactions/receipts.
• Upload unlawful, harmful, abusive, or misleading content.
• Bypass or interfere with security controls, rate limits, or reviews.
• Attempt unauthorized access, scraping, reverse engineering, or abuse.
• Use the Service in violation of applicable law or third-party rights.

5. Offers, Verification, and Redemptions

• Offer availability and eligibility can vary by business, region, account, and verification status.
• Redemptions may require receipt review, transaction verification, anti-fraud checks, and policy review.
• Verification may use receipt uploads, linked-bank transaction matching, manual review, or a combination of these methods depending on the offer and account.
• For certain trade or service categories, a business may be asked to submit a non-binding accept/dispute response during receipt review. Final review, approval, rejection, reversal, and payout decisions remain with Wello.
• We may hold, reject, reverse, or cancel redemptions and cashback where fraud, abuse, policy violations, or compliance issues are detected.
• Businesses are responsible for honoring approved and published offers in accordance with Service rules.

6. Cashout and Payout Terms

• Payout methods may include gift cards and bank-transfer options through approved providers.
• Gift card payouts may be fulfilled through providers such as Reloadly and may require redemption through provider claim links or brand-specific flows.
• Bank-transfer payouts may require accepted cashout terms, a linked bank account, identity or fraud review, and provider-specific onboarding or account-linking with services such as Plaid and Checkbook or successor providers.
• Some bank-transfer withdrawal requests may be queued for manual operational review or manual ACH processing before final payout release.
• Payout timing, availability, and limits may change due to risk controls, provider requirements, outages, or compliance obligations.
• Completed provider-side redemptions or payouts may be irreversible.

7. Business Account Terms

• Business onboarding, listing publication, and offer approval are subject to review.
• You represent that you are authorized to act for any business account you create or manage.
• We may suspend, restrict, remove, or reject business content or access for policy, legal, quality, fraud, or trust-and-safety reasons.

8. Third-Party Services

The Service integrates with third-party providers including Supabase, Google identity/sign-in services, Stripe, Plaid, Checkbook, Reloadly, Brevo, Resend, Cloudflare, Expo Push, Apple Maps, and Google Maps services.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party acts, omissions, or policy changes.

9. Intellectual Property

The Service, including software, design, branding, text, and content provided by Wello, is protected by intellectual property law and remains owned by Wello or its licensors.

Except as expressly permitted by law or these Terms, you may not copy, modify, distribute, publicly display, or create derivative works from the Service.

10. Suspension and Termination

We may suspend or terminate access to all or part of the Service at any time where reasonably necessary for security, abuse prevention, legal compliance, or Terms violations.

You may request account deletion through the in-app Profile area / Help & Support section or by contacting support. Cashback forfeiture disclosures shown during the deletion flow apply to your account request.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLO PARTNERS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND PROVIDERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE.

13. Indemnification

You agree to defend, indemnify, and hold harmless Wello Partners LLC and its affiliates from claims, liabilities, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, excluding conflict-of-law rules. Disputes must be brought in state or federal courts located in Illinois, and you consent to personal jurisdiction and venue there.

15. Changes to These Terms

We may update these Terms from time to time. Updated Terms are effective when posted unless a later date is stated.
